Terms and Conditions

Effective Date: September 15, 2026

Last Updated: September 15, 2026

These Terms & Conditions ("Terms") govern the use of hotbell.shop, purchases directly from HotBell LLC ("HotBell," "we," "us," or "our"), business and wholesale transactions where incorporated, and participation in HotBell Server Alerts.

These Terms contain separate provisions for:

- Retail Customers;

- Business Buyers;

- Website users; and

- Authorized recipients of optional operational SMS messages.

Please review the applicable product, shipping, return, warranty, privacy, and transaction-specific disclosures before entering into a transaction.

The contracting seller for a HotBell order is HotBell LLC unless a separate written agreement clearly identifies another seller before acceptance.

Common ownership, a shared representative, shared office, trade name, DBA, or other affiliation does not by itself make another business a party, guarantor, or obligor under a HotBell transaction.

Nothing in these Terms creates a personal guarantee by a member, manager, employee, officer, representative, or owner of HotBell LLC.

Nothing in these Terms excludes liability that applicable law does not permit HotBell to exclude.

1. AGREEMENT AND SCOPE

You agree to these Terms when you affirmatively accept them through an applicable:

- Registration;

- Checkout;

- Business application;

- Quotation;

- Signed agreement;

- Checkbox;

- Payment process; or

- Other documented acceptance mechanism.

A person entering into a transaction for a business represents that the person has appropriate authority to act for that business.

You must be legally capable of entering into the applicable agreement.

Parents or guardians are responsible for supervising legally permitted use by minors.

HotBell Server Alerts is intended for authorized adult recipients.

Privacy Policy

HotBell's Privacy Policy is available at:

https://hotbell.shop/policies-privacy

The Privacy Policy does not replace any separate consent required by applicable law.

Accepting these Terms, creating an account, submitting an order, making a purchase, maintaining a customer or business relationship, or using hotbell.shop does not by itself enroll a person in recurring SMS messages.

Transaction-Specific Terms

Product-specific disclosures and applicable shipping, returns, warranty, quotation, or other transaction-specific terms made available before a transaction form part of the applicable transaction to the extent validly incorporated.

Mandatory law controls over an inconsistent contractual provision.

For a negotiated commercial transaction, a signed agreement or another accepted transaction document may control over an inconsistent general provision of these Terms.

A later invoice, policy update, or website revision does not retroactively remove rights already agreed to or protected by applicable law.

2. ACCOUNTS AND ACCEPTABLE USE

Provide accurate information and keep:

- Shipping addresses;

- Billing addresses;

- Business information;

- Contact information; and

- Authorized account users

reasonably current.

Protect account credentials and promptly report suspected unauthorized access.

You are responsible for activity you authorize.

These Terms do not automatically make you responsible for every unauthorized transaction merely because a transaction originated through your account.

Prohibited Uses

Do not use HotBell services to:

- Commit fraud;

- Impersonate another person or organization;

- Infringe intellectual-property or privacy rights;

- Introduce malicious code;

- Disrupt website or system availability;

- Circumvent access controls;

- Access protected account information without authorization;

- Harvest personal information unlawfully; or

- Attempt unauthorized system access.

Do not submit another person's telephone number for recurring SMS messages without the authority and consent required for that number.

HotBell may reasonably investigate suspected misuse and restrict access where appropriate to protect:

- Systems;

- Users;

- Legal rights; or

- Regulatory obligations.

An account restriction does not eliminate an accrued refund, warranty, privacy, or other legal obligation.

Automated Access

Ordinary search-engine indexing and automated access by AI, discovery, or similar systems are permitted only to the extent consistent with:

- HotBell's published robots directives;

- Machine-readable permissions;

- Technical controls;

- Contractual rights; and

- Applicable law.

This permission does not authorize:

- Access to nonpublic accounts;

- Circumvention of technical controls;

- Unlawful harvesting of personal information;

- Extraction of confidential account-specific pricing;

- Unauthorized copying of protected databases; or

- Use of HotBell content to impersonate HotBell or create materially misleading product representations.

HotBell may prospectively modify machine-readable access permissions.

3. PRODUCT INFORMATION AND COMPATIBILITY

HotBell seeks to provide accurate:

- Product specifications;

- Availability information;

- Pricing;

- Photographs;

- Compatibility information; and

- Product descriptions.

Product images may illustrate:

- An installation;

- A use case;

- A configuration; or

- An accessory not included with the base product.

The applicable product listing identifies the items included.

Appearance may vary because of monitor settings, lighting, packaging changes, or legitimate manufacturing revisions.

Nothing in this section overrides a material express product specification or legally enforceable product representation.

Compatibility

Review applicable:

- Dimensions;

- Connectors;

- Operating requirements;

- Electrical requirements;

- Software requirements;

- Compatibility information; and

- Other material specifications

before purchase.

Contact HotBell if a material compatibility question is not resolved by the product listing.

Follow applicable installation, operation, maintenance, and safety instructions.

Use qualified installers where required by a product or applicable law.

Safety-Critical Uses

HotBell does not represent that ordinary consumer-electronics products are suitable for:

- Life-support systems;

- Emergency-response systems;

- Medical systems;

- Safety-critical systems; or

- Other highly critical applications

unless a product is expressly certified and sold for that purpose.

Automated and AI-Generated Information

Automated product suggestions, AI-generated assistance, or general support information may contain errors.

Obtain confirmation of a material product specification where appropriate.

This provision does not disclaim an enforceable representation or written warranty created by HotBell's actual sales representations.

4. ORDERS, PRICING, AND PAYMENT

Submitting an order constitutes a request to purchase.

An automated receipt or payment authorization may acknowledge receipt of the request without constituting final acceptance.

Unless checkout clearly identifies another acceptance process, HotBell accepts an order when HotBell:

- Expressly confirms acceptance; or

- Ships the accepted goods.

HotBell may decline an unaccepted order for reasons including:

- Product unavailability;

- A material pricing error;

- A material listing error;

- Suspected fraud;

- Payment-verification problems;

- Address problems;

- Export restrictions; or

- Other legitimate legal restrictions.

If HotBell has taken payment for an order HotBell cancels before shipment, HotBell will return the applicable amount as required by law.

Pricing

Prices, currency, taxes, shipping charges, and other mandatory charges are disclosed through checkout or an accepted quotation.

Promotional eligibility and expiration are governed by the applicable disclosed offer.

HotBell does not increase an accepted retail price without the customer's agreement.

If a genuine error materially affects an order, HotBell will explain the available correction or cancellation rather than charge an undisclosed amount.

Payment

Use only a payment method you are authorized to use.

Payments are processed through the payment services made available for the applicable transaction.

Business credit, deposits, installments, interest, collection costs, late fees, or similar financial terms apply only where lawfully disclosed and agreed in the applicable commercial transaction.

These Terms do not independently create an unspecified finance charge.

HotBell may perform reasonable verification before releasing products.

Tax-exemption treatment depends on applicable law and timely acceptable documentation.

5. SHIPPING, DELIVERY, AND RISK

Available shipping methods, destination eligibility, charges, and stated shipment commitments are provided through:

- Checkout;

- HotBell's Shipping Policy;

- An accepted quotation; or

- Another applicable transaction document.

HotBell must have a reasonable basis for a represented shipment time.

Where the federal Mail, Internet, or Telephone Order Merchandise Rule applies, an order without a stated shipment period remains subject to applicable legal shipment-time requirements, including required:

- Delay notices;

- Consent choices;

- Cancellation rights; and

- Refunds.

Carrier transit estimates are not guaranteed delivery dates unless an express guarantee applies.

Events outside HotBell's reasonable control may affect shipment or delivery but do not eliminate mandatory cancellation, delay-notice, or refund rights.

Retail Risk of Loss

For a Retail Customer, risk of loss does not pass earlier than delivery where applicable law requires delivery-based risk allocation.

A carrier tracking scan may be considered during an investigation but does not automatically waive a legitimate nondelivery or damage claim.

Commercial Shipments

For a commercial shipment, unless an accepted written transaction document states otherwise:

Business shipments are FOB Origin — Pocatello, Idaho.

Risk of loss for an FOB Origin shipment transfers to the Business Buyer when HotBell delivers the shipment to the carrier at origin.

An accepted:

- Quotation;

- Invoice;

- Order acknowledgment;

- Signed agreement; or

- Other controlling written transaction document

may establish different freight, delivery, insurance, or risk-of-loss terms.

Additional shipping terms are available at:

https://hotbell.shop/policies-shipping

6. CANCELLATIONS, RETURNS, AND REFUNDS

Contact:

Service@HotBell.store

promptly to request:

- Order cancellation;

- Shipping-address correction; or

- Another pre-shipment modification.

HotBell will attempt to accommodate a request where reasonably possible.

A requested cancellation or modification is not effective until HotBell confirms it.

Nothing in this section limits a cancellation right provided by applicable law.

Returns

Preference-based returns, eligible products, return-request periods, product-condition requirements, Return Merchandise Authorization ("RMA") procedures, return-shipping responsibility, refund timing, and related terms are governed by HotBell's Returns & Refunds Policy:

https://hotbell.shop/policies-returns

Incorrect, Damaged, Defective, or Misdescribed Products

For an incorrect, damaged, defective, incomplete, or materially misdescribed product, contact HotBell with:

- Applicable order information; and

- A description of the issue.

HotBell will provide the remedy required by the applicable:

- Returns Policy;

- Written warranty;

- Transaction agreement; or

- Law.

An RMA procedure assists with identifying and routing a return but does not eliminate a remedy that applicable law does not permit HotBell to restrict.

Do not ship:

- Damaged batteries;

- Hazardous materials; or

- Carrier-restricted products

without following applicable HotBell and carrier instructions.

Refunds

Approved refunds generally return through the original payment method unless another method is lawfully agreed or reasonably necessary.

A bank, card issuer, or payment provider may require additional time to post a refund after HotBell initiates it.

Nothing in these Terms prevents a legitimate:

- Chargeback;

- Payment dispute;

- Bank complaint; or

- Statutory remedy.

HotBell may reasonably investigate suspected fraud, duplicate recovery, or abuse without penalizing a good-faith claim.

7. PRODUCT WARRANTIES AND REMEDIES

Retail Warranty

Eligible new HotBell-branded products purchased directly from HotBell by the original Retail Customer are covered by HotBell's One-Year Limited Retail Warranty unless different product-specific written warranty terms are clearly disclosed before purchase.

The complete Retail Warranty is available at:

https://hotbell.shop/policies-retail

Commercial Warranty

Eligible new HotBell-branded products purchased directly from HotBell by an approved Business Buyer are covered by HotBell's Two-Year Commercial Limited Warranty unless an applicable:

- Quotation;

- Invoice;

- Order acknowledgment;

- Product-specific warranty; or

- Signed agreement

provides different written terms.

The complete Commercial Warranty is available at:

https://hotbell.shop/policies-commercial

Third-Party Products

Third-party branded products may be subject to the applicable manufacturer's written warranty unless HotBell expressly provides another written warranty.

Consumer Warranty Rights

Nothing in these Terms disclaims or limits an implied warranty, statutory remedy, or consumer right that the Magnuson-Moss Warranty Act, applicable state law, or other applicable law does not permit HotBell to disclaim or limit.

Independent repair, use of a third-party component, or service by a non-HotBell provider does not automatically void an applicable consumer warranty.

Coverage may be denied to the extent a claimed failure or damage was caused by:

- Repair;

- A third-party component;

- Modification;

- Misuse;

- Improper installation; or

- Improper service.

Data and Service Preparation

Before returning a product for service, back up important data where reasonably feasible and remove personal or confidential information where appropriate.

Testing, repair, replacement, or diagnostic work may require resetting or reformatting a device.

This requirement does not waive a duty or remedy that applicable law does not permit HotBell to limit.

8. BUSINESS AND WHOLESALE TRANSACTIONS

An approved business or wholesale account does not create:

- An exclusive territory;

- Agency;

- Partnership;

- Franchise;

- Minimum supply commitment; or

- Trademark rights beyond an express authorization.

Reseller Responsibilities

Resellers must:

- Accurately represent HotBell products;

- Preserve applicable labels;

- Preserve applicable warnings;

- Preserve applicable safety information;

- Comply with laws governing downstream sales; and

- Avoid unauthorized HotBell representations.

A reseller may not state that HotBell provides a warranty, certification, regulatory approval, or commercial commitment beyond what HotBell actually provides.

Commercial Terms

Specific:

- Minimum quantities;

- Lead times;

- Deposits;

- Cancellation charges;

- Payment terms;

- Credit terms;

- Freight responsibilities; and

- Other negotiated commercial conditions

must be stated in the applicable accepted transaction documents.

A purchaser's additional terms bind HotBell only to the extent HotBell agrees to them or applicable contract law otherwise incorporates them.

Inspection

Business Buyers should inspect shipments promptly, preserve relevant packaging and delivery documentation, and notify HotBell of a discrepancy.

Agreed commercial inspection periods apply only to the extent enforceable and do not automatically extinguish:

- Fraud claims; or

- Claims relating to latent defects that could not reasonably have been discovered through ordinary inspection.

Retail Versus Business Classification

Consumer protections continue to apply whenever applicable law treats a transaction as a consumer transaction.

A business-account designation by itself does not determine whether a transaction is legally a consumer or commercial transaction.

9. INTERNATIONAL TRANSACTIONS

HotBell fulfills international orders only to destinations and transactions HotBell accepts.

The applicable transaction should identify responsibility for:

- Import procedures;

- Customs clearance;

- Duties;

- Tariffs;

- Taxes;

- Brokerage;

- Permits; and

- Destination charges.

Unless expressly included in the accepted price or required otherwise by law, purchaser-responsible import charges are additional to the product price.

HotBell may decline transactions prohibited or restricted by:

- Export-control laws;

- Sanctions;

- Customs rules;

- Product restrictions; or

- Other applicable law.

Purchasers must not knowingly divert HotBell products to:

- Prohibited parties;

- Prohibited destinations; or

- Prohibited uses.

HotBell does not transfer its own legally nondelegable export, safety, product, or regulatory obligations to a purchaser.

Mandatory consumer protections applicable to an international Retail Customer remain available where applicable law requires them.

10. WEBSITE MATERIALS AND SUBMISSIONS

HotBell and its licensors retain applicable rights in:

- HotBell trademarks;

- Product photographs;

- Graphics;

- Website software;

- Text;

- Video; and

- Other protected materials.

You may use hotbell.shop to:

- Evaluate products;

- Purchase products;

- Apply for business purchasing; and

- Obtain support.

Other commercial copying or reuse requires permission except where applicable law permits otherwise.

Purchasing a HotBell product does not by itself grant a trademark license.

Reviews and User Content

You retain ownership rights you have in authentic content you submit.

For content intentionally submitted for public display, such as a review, you grant HotBell a nonexclusive, royalty-free license reasonably necessary to:

- Host;

- Format;

- Reproduce; and

- Display

that content for the disclosed purpose.

This permission does not authorize HotBell to create a materially misleading endorsement or publish private support correspondence as a testimonial without appropriate authorization.

You must have the rights reasonably necessary to submit the content.

Content Moderation

HotBell may moderate content that is:

- Unlawful;

- Abusive;

- Fraudulent;

- Irrelevant;

- Infringing; or

- Privacy-invasive.

HotBell does not:

- Prohibit honest negative reviews;

- Penalize a customer merely because a review is negative; or

- Require consumers to transfer ownership of reviews as a condition of purchase.

Nothing in these Terms prevents a person from reporting a concern to:

- Law enforcement;

- A regulator;

- A court; or

- Another competent authority.

11. HOTBELL SERVER ALERTS

Program Operator and Messaging Brand

HotBell LLC operates HotBell Server Alerts under the messaging brand "HotBell — A Burns & Dingyu Company."

HotBell LLC is the legal entity and program operator.

HotBell Server Alerts is an optional recurring SMS program for authorized adult personnel who affirmatively choose to receive technical and operational notifications.

Program Purpose

HotBell Server Alerts may provide technical operational notices concerning:

- Monitored server availability;

- Monitored application availability;

- Connectivity failures;

- Service interruptions;

- Service restoration;

- Resource conditions;

- Maintenance status; and

- Other technical conditions requiring operator attention.

Where an authorized investment-monitoring system is being technically monitored, operational messages may include:

- Loss of connectivity to the monitoring system;

- Missing market-data feed updates;

- Delayed market-data feed updates;

- Technical data-feed interruptions; and

- Restoration or recovery of monitored connections or data feeds.

Excluded Financial Content

HotBell Server Alerts does not provide:

- Securities-price alerts;

- Investment recommendations;

- Trading signals;

- Executed-trade notifications;

- Position alerts;

- Portfolio alerts;

- Account-balance alerts;

- Cryptocurrency alerts; or

- Financial promotions.

The program must remain within:

- The purpose disclosed to recipients; and

- The scope accepted for the applicable messaging campaign.

Eligible Recipients

Enrollment is limited to individuals authorized to receive the relevant operational information.

Merely identifying an individual as an:

- Employee;

- Contractor;

- Owner;

- Administrator;

- Customer; or

- Other contact

does not by itself enroll that individual in recurring SMS messages.

Consent applies only to HotBell Server Alerts operated by the identified program operator.

Consent does not automatically extend to:

- Affiliates;

- Separately operated businesses;

- Other DBAs;

- Unrelated messaging programs; or

- Materially different messaging purposes.

Separate consent will be obtained where required.

Enrollment and Consent

Enrollment is voluntary and requires an affirmative action after the applicable program disclosures are presented.

For a documented written enrollment process, an eligible recipient must receive or have access to disclosures identifying:

- The messaging brand;

- Program name;

- Program purpose;

- Recurring-message nature;

- Message-frequency disclosure;

- Message and data rate notice;

- STOP instructions;

- HELP instructions;

- Privacy Policy; and

- These Terms.

The recipient must then affirmatively consent to receive HotBell Server Alerts at the specified telephone number.

HotBell may retain reasonable evidence of enrollment, including:

- Telephone number;

- Consent language;

- Consent version;

- Enrollment method;

- Date and time;

- Source of consent; and

- Other information reasonably necessary to demonstrate affirmative enrollment.

What Does Not Constitute Consent

The following do not by themselves constitute consent to recurring HotBell Server Alerts:

- A purchase;

- Customer relationship;

- Employment relationship;

- Business relationship;

- Account registration;

- Acceptance of general website terms; or

- Possession of a telephone number.

Enrollment is not a condition of purchase.

Future Enrollment Methods

If HotBell implements another enrollment method, including:

- A website form; or

- Text-to-join

that method must provide the disclosures and affirmative consent required by applicable law and must be consistent with the applicable messaging registration before being offered to recipients.

Enrollment Confirmation

After valid enrollment, HotBell will send an automated enrollment confirmation identifying:

- The messaging brand "HotBell — A Burns & Dingyu Company"; and

- The HotBell Server Alerts program.

The confirmation will briefly explain that the recipient may receive technical and operational notifications concerning:

- Monitored server or application availability;

- Connectivity failures;

- Service interruptions;

- Service restoration;

- Missing or delayed market-data feed updates;

- Technical data-feed interruptions; and

- Restoration or recovery of monitored connections or data feeds.

The confirmation will state:

- Messages are recurring;

- Message frequency varies;

- Message and data rates may apply;

- Reply HELP for assistance; and

- Reply STOP to unsubscribe.

Frequency and Charges

Message frequency varies based on:

- System events;

- Monitoring conditions;

- Operator settings; and

- Operational requirements.

Messages are recurring until the recipient opts out or the program terminates.

Message and data rates may apply.

HotBell does not charge a separate subscription fee for HotBell Server Alerts unless a different fee is expressly disclosed and agreed before enrollment.

Where disclosed before enrollment, time-sensitive operational messages may be delivered outside ordinary business hours.

HELP

Reply HELP for assistance.

When you reply HELP, HotBell will send an automated response identifying the messaging brand and providing support contact information.

Automated HELP responses are available outside staffed support hours.

Human support follows the hours listed below.

Email: Service@HotBell.store

Phone: +1 (208) 403-6070

Human Support Hours:

Monday through Friday

8:00 a.m. to 4:00 p.m. Mountain Time

excluding holidays.

STOP and Opt-Out

Reply STOP to any HotBell Server Alerts message to unsubscribe.

HotBell will also honor other supported opt-out keywords and legally effective requests clearly communicating withdrawal where required by applicable law.

After HotBell receives an effective opt-out request, HotBell will:

- Stop future recurring program messages as promptly as practicable and within applicable legal requirements; and

- Send one nonpromotional automated opt-out confirmation.

The opt-out confirmation will:

- Identify the messaging brand;

- Confirm that the recipient has been unsubscribed from HotBell Server Alerts; and

- Confirm that the recipient will no longer receive recurring messages from the program.

HotBell will not:

- Switch sending numbers;

- Change routes; or

- Use another messaging program

for the purpose of circumventing a valid opt-out.

A HELP request does not renew consent.

A prior consent record does not reactivate a recipient who has opted out.

Re-enrollment requires a supported enrollment process and fresh affirmative consent where required.

Privacy

The HotBell Privacy Policy governs personal information associated with HotBell Server Alerts.

Privacy Policy:

https://hotbell.shop/policies-privacy

The Privacy Policy includes additional protections concerning:

- Mobile telephone numbers;

- SMS opt-in information; and

- SMS consent information.

Do not send through ordinary SMS:

- Passwords;

- Authentication credentials;

- Complete payment information;

- Confidential customer records; or

- Other highly sensitive information.

Delivery Limitations

Carriers are not liable for delayed or undelivered messages.

SMS delivery may be affected by:

- Network availability;

- Receiving-device status;

- Carrier filtering;

- Service-provider systems;

- Telecommunications systems;

- Configuration errors; or

- Other technical conditions.

HotBell Server Alerts is not:

- A guaranteed real-time monitoring service;

- An emergency service;

- An investment advisory service;

- A securities-price alert service;

- A trading service; or

- A substitute for direct system controls and independently tested escalation procedures.

The absence of an SMS alert does not establish that a monitored:

- System;

- Server;

- Connection;

- Application; or

- Data feed

is functioning correctly.

Authorized operators should independently verify system status using appropriate monitoring and control tools before taking action.

Changes and Termination

HotBell may suspend or terminate HotBell Server Alerts where reasonably necessary because of:

- Technical failure;

- Loss of authorization;

- Misuse;

- Legal requirements;

- Carrier requirements;

- Messaging-provider requirements; or

- Changes to the underlying service.

If HotBell materially expands the program's message purpose in a way requiring renewed consent, HotBell will obtain the required consent before sending messages within the expanded scope.

Previously recorded opt-outs remain effective following:

- System migrations;

- Provider changes; or

- Operational changes

unless the recipient validly re-enrolls.

12. WEBSITE AND ALERT SERVICE LIMITATIONS

TO THE EXTENT PERMITTED BY LAW, GENERAL WEBSITE FUNCTIONS AND THE OPTIONAL HOTBELL SERVER ALERTS SERVICE ARE PROVIDED ON AN "AS AVAILABLE" BASIS WITHOUT A GUARANTEE OF UNINTERRUPTED OPERATION, ERROR-FREE OUTPUT, OR FITNESS FOR A PARTICULAR OPERATIONAL PURPOSE.

TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE RELATING SOLELY TO THOSE SERVICES ARE DISCLAIMED.

This service disclaimer does not apply to:

- An express product warranty;

- An enforceable product representation;

- A promised refund;

- A mandatory legal protection;

- An unlawful privacy practice; or

- HotBell's obligation to honor valid SMS consent and opt-out requirements.

13. LIMITS ON LIABILITY

TO THE EXTENT PERMITTED BY LAW, HOTBELL IS NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL LOSS ARISING SOLELY FROM USE OF THE WEBSITE OR OPTIONAL ALERT SERVICE, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

FOR AN ORDINARY CONTRACT CLAIM ARISING SOLELY FROM THE OPTIONAL HOTBELL SERVER ALERTS SERVICE, HOTBELL'S AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF USD $100 OR THE AMOUNT PAID TO HOTBELL FOR THAT ALERT SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT.

For a commercial product transaction, to the extent lawfully agreed and permitted, HotBell's aggregate liability for ordinary contract claims is limited to the amount paid for the affected goods.

This commercial limitation does not limit a Retail Customer's mandatory remedies and does not substitute for performance of an applicable written warranty.

These exclusions and limits do not apply to:

- Fraud;

- Intentional misconduct;

- Gross negligence;

- Death or personal injury;

- Statutory privacy or messaging remedies that cannot legally be limited; or

- Other liability applicable law does not permit the parties to exclude or limit.

These provisions do not authorize HotBell to retain payment for undelivered goods or override a remedy where such limitation would be unlawful or would fail its essential purpose.

Where a jurisdiction restricts a limitation, it applies only to the maximum extent legally permitted.

14. BUSINESS INDEMNIFICATION

For a commercial transaction, a Business Buyer will reimburse HotBell for a third-party claim and reasonable defense costs to the extent caused by the Business Buyer's:

- Unlawful resale conduct;

- Unauthorized product representations;

- Infringement in purchaser-supplied materials; or

- Intentional misuse of HotBell services.

This provision does not apply to the extent a claim is caused by:

- HotBell's breach;

- A HotBell product defect;

- HotBell's negligence; or

- HotBell's unlawful conduct.

This provision does not create a consumer obligation to indemnify HotBell merely because a consumer:

- Makes a complaint;

- Exercises a lawful right; or

- Submits an honest review.

HotBell must provide reasonably prompt notice of a covered claim and a reasonable opportunity to participate in the defense.

No settlement may admit liability or impose a material nonmonetary obligation on another party without that party's reasonable consent.

Responsibility remains subject to applicable law.

15. DISPUTES AND GOVERNING LAW

Contact:

Service@HotBell.store

with:

- The applicable order or account reference;

- A description of the issue; and

- The requested remedy.

HotBell encourages informal resolution where practical.

Contacting HotBell is not a condition that:

- Extinguishes a legal claim;

- Prevents timely court relief;

- Prevents a regulatory complaint;

- Prevents a legally available small-claims action; or

- Reduces a statutory filing period.

Idaho law governs these Terms to the extent permitted by applicable law, without eliminating mandatory protections available under otherwise applicable law.

For business-to-business disputes, the parties consent to appropriate:

- State courts located in Bannock County, Idaho; or

- The United States District Court for the District of Idaho

when that court has subject-matter jurisdiction.

Consumer venue rights remain available where required by applicable law.

These Terms do not require arbitration and do not waive class-action or jury-trial rights.

16. GENERAL PROVISIONS

HotBell may update these Terms prospectively by publishing an updated Effective Date or Last Updated date and by providing additional notice or obtaining renewed acceptance where required.

The applicable version governs an existing transaction.

A later version does not retroactively eliminate accrued claims or rights.

Changes to the scope of HotBell Server Alerts remain subject to applicable consent requirements.

If a provision is unenforceable, it will be limited or severed only to the extent legally necessary.

Remaining provisions continue to operate where they can do so consistently with the agreement's essential purpose.

Failure to enforce a provision on one occasion does not permanently waive that provision.

Assignment does not enlarge SMS consent or eliminate mandatory:

- Consumer rights;

- Privacy rights;

- Warranty rights; or

- Other legal rights.

These Terms and validly incorporated transaction documents form the applicable agreement without negating protected rights or enforceable representations arising under applicable law.
